Minutes, Board of Directors (BOD) Meeting, September 21, 2014
I. The meeting was called to order by co-Presidents Jan Findlater and Beverly Cox after a Gluten-Free Sunday Brunch fundraiser at Panzano Restaurant in the Hotel Monaco. Present: Dames Jan Findlater, Beverly Cox, Nancy Merrill, Marcia Kramer, Teresa Farney, and Carol Fenster.
Minutes from the May 24, 2014 Board meeting and the July 20, 2014 conference-call Board meeting were distributed by Secretary Carol Fenster. Resignations of Joan Brewster and Keri Jensen were accepted.
Elected officers and Board members for the LDEI Colorado Chapter, 2014-2015 are:

II. Beverly Cox opened the meeting by describing the purpose of LDEI, the importance of our initiatives (e.g., Green Tables, Global Culinary Initiative, etc.) and her history with the first Les Dames chapter in New York, started by Carol Brock in1973.
III. Treasurer Teresa Farney distributed the list of 22 paid members for 2014-2015 (attached). She submitted a Proposed Budget for 2014-2015 (attached), which was drafted by the Finance Committee. It includes $500 for our Green Tables Initiative, $2000 for 2015 scholarships, and $100 for the Global Culinary Initiative. Dame Nancy motioned that we accept the proposed budget and Dame Teresa seconded the motion—and it passed, with the following changes. Under Expenses, the Web-page hosting/registration/design is closer to $100, rather than $425. And, (also under Expenses) while co-President Beverly Cox will be reimbursed for $500 for her LDEI National conference registration, co-President Jan Findlater will be reimbursed for her expenses not to exceed $500, since she is attending for only one day. Our delegate will be Beverly Cox who will prepare a report about our chapter to be submitted during the National conference.
IV. A list of committees is attached to this report, with Chairpersons indicated by an asterisk.
By October 15, all committee chairs should be in contact with their committees and make a plan to meet by phone at the very least.
It was agreed that the Board sets the direction for the committees and it is the Committee Chair’s responsibility to execute its activities within the scope of that direction.
V. Future events: Carol Maybach has proposed a future event (perhaps January) at her home to honor Madeleine de Jean and Jeremiah Tower. Holly Arnold Kinney will host Rose Levy Beranbaum at The Fort on November 13. Carol Fenster will host a holiday potluck at her home in early December (date TBD).
VI. We discussed the possibility of establishing a PayPal Account to allow members to use a credit card to pay dues or pay for chapter events. Attendees who sign up for an event but then fail to show (or cancel after the deadline) would have their credit card charged anyway. We encourage everyone to honor their commitments to attend an event, especially when these events involve giving a restaurant or hostess a specific headcount in advance, which we are then expected to honor.
VII. Nancy Merrill is pursuing a Raffle license for our chapter which will allow us to raise more money through events such as Silent Auctions.
VIII. Members are encouraged to send their Biographical data to Dame Michele Morris at michele@cookingwithmichele.com and she will post the information on our new website at www.LesDamesColorado.org. This helps tell our website visitors who we are and what we do. The suggested format for the information we send to Michele is as follows:

IX. Carol Fenster will email the Conflict of Interest form to those Board members who haven’t signed it yet. Dame Teresa Farney described why this is important—in case a Conflict of Interest ever arose within our Chapter— we would be covered.
